Terms of Use

These Terms of Use (the "Terms") govern your use of the ClearFax application for iOS and this website (the "Service"), provided by Setout Labs, LLC. By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, and have the legal capacity to enter into a binding agreement with Setout Labs, LLC. You agree to use the Service in compliance with these Terms and all applicable law.

2. What the Service does

ClearFax is send-only. You capture or import pages, we assemble them into a document packet with a cover sheet, and we hand that packet to a fax provider for transmission to the number you entered. ClearFax does not have a fax number, cannot receive faxes, and has no inbox. Destinations are limited to numbers in the United States and Canada.

3. What a successful send means

ClearFax reports the fax network's transmission status. A successful send means the fax provider accepted your pages, transmitted them, and reported success to us. It does not mean any person or organization received, read, printed, filed, processed, or approved your document. Fax rides the public telephone network, and we cannot guarantee that a transmission will complete or that anything happens at the other end. Do not rely on ClearFax as proof that a deadline was met or an obligation discharged. If the document matters, confirm receipt with the recipient directly. You are responsible for the number you enter and for what you send to it.

ClearFax makes no claim of compliance with HIPAA or any other regulatory or certification scheme. If your document is subject to such rules, it is your responsibility to determine whether this Service is appropriate for it.

4. Purchases

Sends are one-time in-app purchases sold through the Apple App Store. There are no subscriptions and nothing renews. The price is shown before you are charged and depends on the page count. Apple controls billing, refunds, and its own terms, which apply alongside these Terms. Taxes may be added and vary by location. Refund requests are handled by Apple.

A purchase covers one successful transmission. If a transmission fails or completes only partially, it does not consume your purchase and you can send again at no additional charge.

5. Your content

You retain all rights you hold in the documents you send (your "Content"). You grant us a worldwide, non-exclusive license, for which no royalty is payable, to host, process, and transmit your Content solely to perform the send you requested. You are responsible for your Content, for having the right to send it, and for ensuring it does not infringe anyone's rights or violate applicable law.

6. Acceptable use

You agree not to:

  • Use the Service unlawfully, harmfully, fraudulently, or in a misleading way.
  • Send unsolicited advertising or any fax that violates fax and telemarketing law.
  • Send to a number you are not permitted to contact.
  • Upload malicious code or otherwise disrupt or overburden the Service.
  • Attempt unauthorized access to the Service or our systems.
  • Reverse engineer or extract source code, except where the law expressly permits it.
  • Misrepresent your identity or your affiliation with any person or organization.

7. Intellectual property

Except for your Content, Setout Labs, LLC owns all rights in the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. You may not copy, modify, distribute, sell, or lease any part of the Service.

8. Third-party services

The Service relies on third parties including Apple, our hosting provider, our crash reporting provider, and our fax provider. Those services are governed by their own terms and policies, and we are not responsible for them.

9. Termination

You may stop using the Service at any time by deleting the app. We may suspend or terminate your access for material or repeated breaches of these Terms, security risks, or where the law requires it. Provisions on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind. We do not warrant that the Service will be uninterrupted, secure, or without error, or that any transmission will succeed or arrive legibly. To the maximum extent permitted by law, we disclaim the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing here excludes warranties that cannot be limited by law.

11. Limitation of liability

To the maximum extent permitted by law, Setout Labs, LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, including any loss arising from a fax that did not transmit, transmitted late, transmitted illegibly, or reached the wrong number. Our total liability for any claim relating to the Service or these Terms will not exceed the greater of the amount you paid us in the 12 months before the claim or fifty U.S. dollars (USD $50). Some jurisdictions do not allow these limits, in which case they may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Setout Labs, LLC and its affiliates, officers, employees, and agents from any claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your Content, your violation of these Terms or applicable law, or your infringement of a third party's rights.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where mandatory local law applies. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, except where local law permits you to bring an action where you live. Nothing here limits your consumer-protection rights.

14. Changes

We may update these Terms as the Service or the law changes. For material changes we will give notice in the Service before they take effect, and we will revise the date above. Continuing to use ClearFax after changes take effect means you accept the revised Terms.
